Users representing an organization warrant that they possess the necessary authority to bind such organization.

Franchise World is a technology-enabled marketplace and facilitation platform that enables interactions between:

• Investors;
• Franchise Consultants;
• Franchise Brands;
• Business Owners;
• Service Providers.

The Company facilitates introductions, information sharing, and business opportunities.

The Company does not act as:

• Investment Advisor;
• Financial Advisor;
• Broker;
• Legal Advisor;
• Chartered Accountant;
• Merchant Banker.

To access certain features, users may be required to create an account.

Users agree to:

• Provide accurate information;
• Maintain current records;
• Protect login credentials;
• Notify the Company of unauthorized access.

The Company reserves the right to suspend or terminate accounts containing inaccurate, false, misleading, or incomplete information.

Certain information, including:

• Brand profiles;
• Franchise models;
• Commercial details;
• Financial projections;
• Confidential Information Memoranda (CIMs);

may be accessible only upon payment of applicable charges.

Payment of access fees does not guarantee:

• Investment returns;
• Franchise allotment;
• Business success;
• Revenue generation.

Any information obtained through the Platform including:

• Brand details;
• Commercial information;
• Business models;
• Financial projections;
• Investor data;
• Franchise opportunities;

shall be treated as confidential.

Users shall not:

• Copy;
• Reproduce;
• Share;
• Publish;
• Circulate;
• Reverse engineer;

such information without prior written consent.

This obligation shall survive termination of Platform access.

Users shall not:

Prohibited Activities

• Violate applicable laws;
• Upload false information;
• Impersonate others;
• Engage in fraud;
• Interfere with platform operations;
• Distribute malware;
• Conduct unauthorized marketing;
• Circumvent platform processes;
• Contact brands or investors for the purpose of avoiding platform commissions.

The Company may suspend or permanently terminate accounts violating these provisions.

Franchise Consultants using the Platform agree to:

• Comply with consultant policies;
• Maintain confidentiality;
• Refrain from non-circumvention;
• Refrain from unauthorized solicitation;
• Comply with applicable tax laws.

Commission payments shall be subject to:

• Applicable taxes;
• TDS deductions;
• Internal approval procedures.

All payments made through the Platform shall be processed through authorized payment gateways.

Users acknowledge that:

• Payment gateways are independent third parties;
• The Company does not store card details;

All content on the Platform, including:

• Logos;
• Trademarks;
• Trade Names;
• Software;
• Databases;
• Layouts;
• Reports;
• Documents;
• Designs;

shall remain the exclusive property of the Company or its licensors.

Nothing contained herein grants any license or ownership rights to users.

The Platform may contain information provided by:

• Franchise Brands;
• Consultants;
• Investors;
• Advertisers;
• Third-Party Service Providers.

The Company does not independently verify all such information and makes no representation regarding its accuracy or completeness.

Franchise World merely facilitates introductions between users and franchise brands.

The Company does not guarantee:

• Business success;
• Profitability;
• Return on investment;
• Franchise approvals;
• Commercial outcomes;
• Revenue projections.

All investment decisions are undertaken solely at the user’s own risk.

Users are advised to conduct independent legal, financial, tax, and commercial due diligence prior to making any investment decision.

To the maximum extent permitted under applicable law, the Company shall not be liable for:

• Loss of profits;
• Loss of business;
• Loss of opportunity;
• Indirect damages;
• Consequential damages;
• Special damages;
• Reliance on information provided by third parties.

The aggregate liability of the Company shall not exceed the amount actually paid by the user to the Company during the preceding twelve (12) months.

Processing of Personal Data shall be governed by the Company’s Privacy Policy.

Users acknowledge and consent to processing of Personal Data in accordance with the Privacy Policy and the Digital Personal Data Protection Act, 2023.

The Company may suspend, restrict, or terminate access without prior notice where:

• Applicable laws are violated;
• Fraud is suspected;
• Platform security is compromised;
• False information is provided;
• Terms are breached.

Termination shall not affect accrued rights or liabilities.

Users agree to indemnify and hold harmless the Company, its directors, officers, employees, consultants, and affiliates from any claims, losses, liabilities, damages, penalties, costs, and expenses arising out of:

• Breach of these Terms;
• Violation of applicable laws;
• Misuse of the Platform;
• Infringement of third-party rights.

The Company shall not be liable for any delay or failure resulting from events beyond its reasonable control, including:

• Natural disasters;
• Government actions;
• Internet failures;
• Cyber-attacks;
• Power outages;
• Pandemic events.

These Terms shall be governed by and construed in accordance with the laws of India.

The Company reserves the right to amend these Terms at any time.

Continued use of the Platform following publication of revised Terms shall constitute acceptance of such revisions.
